These Terms of Service (“Terms”) govern your access to and use of the Pazona MD website, online scheduling tools, patient resources, communication services, artificial intelligence tools, and other digital services made available by Pazona MD, PLLC (“Pazona MD,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using our website or digital services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our website or digital services.

These Terms apply to the website and related digital services. They do not replace any consent for treatment, financial agreement, Notice of Privacy Practices, telehealth consent, membership agreement, procedure-specific agreement, or other documentation provided to you as a patient. If there is a conflict, the more specific patient or service agreement will control for that particular service.

1. About Pazona MD

Pazona MD is a Tennessee urology practice offering in-person and telehealth services, including urological care, vasectomy services, urinary health services, sexual health services, hormone optimization, wellness services, weight management, procedures, diagnostic services, and other related healthcare services.

Information about available providers, locations, hours, pricing, and services may change. Please contact Pazona MD directly to confirm current availability.

2. Medical Disclaimer

The content available through our website, including articles, videos, frequently asked questions, chat responses, automated responses, educational resources, and other information, is provided for general informational and educational purposes only.

Website content is not:

Medical advice;

A diagnosis or treatment recommendation;

A substitute for an examination by a qualified healthcare professional;

A prescription or authorization to begin, stop, or change medication;

A guarantee that any particular treatment is appropriate for you; or

A substitute for discussing your individual circumstances with a licensed healthcare provider.

You should not rely on website content, an automated assistant, an email, a text message, or a general telephone response when making decisions about your health.

Always seek the advice of a qualified healthcare professional regarding medical symptoms, diagnoses, medications, test results, treatment options, or other healthcare questions.

3. No Provider-Patient Relationship Through Website Use

Accessing the website, submitting a form, communicating with an automated assistant, sending an email or text message, calling the practice, requesting an appointment, or receiving general information does not by itself establish a provider-patient relationship.

A provider-patient relationship is established only when an authorized Pazona MD healthcare provider affirmatively agrees to evaluate or treat you through an appropriate clinical encounter and any required consent, intake, identity verification, payment, or documentation has been completed.

We are not obligated to accept any person as a patient merely because that person submits information, requests an appointment, or communicates with Pazona MD.

4. Medical Emergencies

The website, patient portal, email, text messaging, online forms, automated assistants, and general office telephone lines are not emergency services and should not be used for urgent or life-threatening medical situations.

If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately.

Do not wait for a response from Pazona MD. Messages may not be reviewed immediately, outside normal business hours, or by a licensed healthcare provider.

5. Eligibility

You may use the website only if you can legally agree to these Terms.

If you are under 18 years old, a parent or legal guardian must use the website and provide any required consent on your behalf, except where applicable law allows a minor to independently consent to particular healthcare services.

By submitting information for another person, you represent that you have the legal authority or that person’s permission to do so.

6. Appointments and Scheduling

Appointment requests are subject to provider availability, location availability, clinical appropriateness, completion of required forms, and any applicable payment or booking requirements.

Submitting an online appointment request does not guarantee that an appointment has been scheduled. An appointment is confirmed only after you receive confirmation from Pazona MD or its authorized scheduling platform.

You are responsible for providing accurate contact information and reviewing appointment confirmations, preparation instructions, preoperative instructions, telehealth access instructions, and other communications.

Pazona MD may reschedule or cancel an appointment due to provider availability, emergencies, technology issues, weather, safety concerns, incomplete documentation, nonpayment, or other operational or clinical reasons.

7. Arrival, Cancellation, and No-Show Policy

Patients are expected to arrive on time for scheduled appointments.

Pazona MD generally provides a 15-minute grace period. If you arrive more than 15 minutes late without communicating with the office, Pazona MD may attempt to work you into the schedule when possible. If that is not possible, you may be required to reschedule.

Unless a different policy was disclosed to you when booking:

A $150 fee may be applied for a missed vasectomy appointment or a vasectomy appointment canceled within 48 hours.

A $50 fee may be applied for other missed appointments or appointments canceled within 48 hours.

Any applicable fee must be paid before another appointment may be scheduled.

Pazona MD generally allows one no-show. A subsequent no-show may result in Pazona MD declining to schedule additional appointments, subject to applicable professional, ethical, and legal obligations. When appropriate, the practice may provide information to help you locate another provider.

We understand that emergencies and unexpected circumstances occur. Pazona MD may waive or modify a fee at its discretion, but is not required to do so.

Vasectomy-Specific Booking Terms

Vasectomy appointments may be subject to additional booking fees, testing kit requirements, deposits, preparation requirements, and cancellation conditions disclosed during scheduling or checkout.

A post-vasectomy semen analysis kit may be mandatory for booking. Certain booking fees, deposits, or testing kit charges may be nonrefundable if you cancel within the period disclosed at booking, which may include cancellations within seven days of the procedure.

When a vasectomy-specific policy conflicts with the general cancellation policy above, the vasectomy-specific policy disclosed during booking will control.

8. Pricing, Payments, and Financial Responsibility

Prices shown on the website are provided for general information and may change without notice. The price applicable to your service will be the price confirmed during scheduling, enrollment, checkout, or your financial consultation.

You agree to pay all charges associated with the services you request, including consultation fees, procedure fees, membership charges, testing costs, medication or device costs, late cancellation fees, no-show fees, administrative charges, and other amounts disclosed to you.

Pazona MD may require payment, a deposit, or a valid payment method before confirming or providing a service.

Insurance and Superbills

Certain Pazona MD services may be provided on a self-pay, membership, out-of-network, or insurance-billed basis depending on the service, provider, and location.

When Pazona MD provides a superbill or other documentation for you to submit to an insurance company, we do not guarantee that your insurer will reimburse you. Insurance coverage, deductibles, reimbursement, and benefits are determined by your insurance company and plan.

You remain responsible for all amounts not paid by an insurer unless Pazona MD has expressly agreed otherwise in writing.

Memberships and Recurring Payments

Membership programs may be subject to additional terms, including minimum commitments, recurring charges, included services, exclusions, cancellation requirements, and renewal terms. Those specific membership terms will control if they conflict with these Terms.

By enrolling in a recurring payment program, you authorize Pazona MD and its payment processor to charge the payment method you provide according to the terms presented during enrollment.

Refunds

Fees are refundable only when required by law or expressly stated in the applicable booking, membership, procedure, or financial policy.

Before initiating a payment dispute or chargeback, please contact Pazona MD so the practice has an opportunity to investigate and address the issue.

9. Telehealth Services

Pazona MD may offer certain healthcare services through telehealth, including secure audio, video, telephone, portal, or other electronic communications.

Telehealth may not be appropriate for every condition. A provider may determine that an in-person examination, laboratory testing, imaging, emergency evaluation, referral, or other form of care is necessary.

When receiving telehealth services, you agree to:

Provide your correct identity, physical location, and contact information;

Participate from a reasonably private and safe environment;

Provide complete and accurate medical information;

Notify the provider if another person is present;

Follow reasonable identity verification and consent procedures;

Avoid participating while driving or performing an unsafe activity; and

Seek emergency or in-person care when instructed.

Telehealth involves risks, including technology failure, interrupted communication, unauthorized access, reduced ability to perform a physical examination, delayed treatment, and limitations in the information available to the provider.

A provider may stop a telehealth visit or require an in-person visit if the provider believes telehealth is clinically inappropriate, technically unreliable, or unsafe.

Telehealth availability depends on your location and the provider’s licensing and legal authority at the time of the visit.

10. Artificial Intelligence and Automated Assistance

Pazona MD may use artificial intelligence, automated voice systems, chat assistants, virtual receptionists, automated workflows, and similar technology to support administrative operations.

These systems may assist with:

Answering general administrative questions;

Providing publicly available information;

Collecting contact and scheduling information;

Identifying the general reason for an inquiry;

Requesting an appointment;

Confirming or reminding you about appointments;

Routing calls or messages;

Following up on incomplete scheduling requests;

Providing office hours, location information, and general preparation information; and

Connecting you with a staff member.

An artificial intelligence or automated assistant is not a physician, nurse, or licensed healthcare professional. It is not authorized to diagnose a condition, interpret medical records or test results, recommend treatment, prescribe medication, make clinical decisions, or provide emergency medical guidance.

Automated systems may occasionally provide incomplete, delayed, outdated, or incorrect information. You should verify important information with a Pazona MD staff member or licensed healthcare provider.

Do not rely on an automated assistant for urgent symptoms, medication instructions, postoperative complications, test interpretation, or time-sensitive medical decisions.

Pazona MD may review, correct, restrict, suspend, or discontinue automated responses at any time. When appropriate, an automated interaction may be transferred or escalated to a human staff member.

11. Telephone Calls, Call Recording, and Transcription

Calls to or from Pazona MD may be monitored, recorded, transcribed, summarized, or analyzed for quality assurance, training, documentation, scheduling, patient service, compliance, security, and operational purposes.

Automated or artificial intelligence systems may participate in or assist with calls.

Pazona MD will provide notices and obtain consent when required by applicable law. By continuing a call after receiving an applicable recording or automated-system notice, you consent to the described recording or processing to the extent permitted by law.

If you do not wish to participate in a recorded or automated interaction, inform the representative or end the call and contact Pazona MD through another available method.

Recordings and transcripts are not necessarily maintained as part of your medical record. If a recording or transcript is maintained and used to make decisions about your care, it may be handled as protected health information where applicable.

12. Text Message and Mobile Communication Terms

When you provide a mobile telephone number and affirmatively consent to receive communications, initiate a text conversation, or otherwise request mobile communications, you authorize Pazona MD and its service providers to send communications to that number.

Communications may include:

Appointment requests and confirmations;

Appointment reminders;

Scheduling and rescheduling messages;

Intake and preparation reminders;

Follow-up requests;

Patient service communications;

Account and payment notifications;

Records or portal notifications;

Calls or messages responding to your inquiry; and

Promotional or marketing communications when you have separately consented to receive them.

Messages or calls may be sent using automated technology, artificial intelligence, an automatic telephone dialing system, or an artificial or prerecorded voice where permitted by law.

Your consent to receive marketing communications is not a condition of receiving treatment or purchasing a service.

Message frequency varies. Standard message and data rates may apply. Mobile carriers are not responsible for delayed or undelivered messages.

You represent that:

You are the subscriber or customary user of the telephone number provided;

You are authorized to consent to communications at that number;

The number is accurate; and

You will promptly notify Pazona MD if the number changes or is reassigned.

To stop recurring text messages, reply STOP. After submitting an opt-out request, you may receive one final message confirming the opt-out. To request assistance, reply HELP or contact Pazona MD.

Opting out of text messages does not prevent Pazona MD from contacting you by telephone, mail, portal message, or another legally permitted method regarding your care, account, appointment, or an important operational matter.

Text messaging may not be encrypted and may be visible to anyone with access to your device or telephone account. Do not use ordinary text messaging for emergencies or highly sensitive medical information. Use the secure patient portal or another method directed by Pazona MD when appropriate.

13. Email Communications

Email may not always be encrypted or completely secure. By providing an email address or initiating an email conversation, you acknowledge the risks of electronic communication and authorize Pazona MD to respond through email unless you request another reasonable communication method.

You are responsible for protecting access to your email account and notifying Pazona MD if your email address changes or is compromised.

Do not use email for emergencies or urgent medical matters.

14. Patient Portal and Secure Services

Pazona MD may provide access to a patient portal or other secure third-party services for scheduling, forms, records, communications, billing, file uploads, or telehealth.

You are responsible for:

Maintaining the confidentiality of your username, password, verification codes, and devices;

Providing accurate information;

Preventing unauthorized use of your account;

Signing out after using a shared device; and

Promptly reporting suspected unauthorized access.

You may not access another person’s patient portal or health information without legal authorization.

Third-party platforms may have their own terms, privacy policies, security practices, and technical requirements. Pazona MD is not responsible for a third-party platform’s independent acts or omissions, except as required by applicable law or contractual obligations.

15. Privacy and Protected Health Information

Your use of the website is also subject to the Pazona MD Privacy Policy.

Certain information collected or maintained as part of your healthcare may constitute protected health information under the Health Insurance Portability and Accountability Act, commonly known as HIPAA, and applicable state law.

Pazona MD’s use and disclosure of protected health information is governed by its Notice of Privacy Practices and applicable law. The Privacy Policy and these Terms do not replace the Notice of Privacy Practices.

Not every piece of information submitted through a public website automatically constitutes protected health information under HIPAA. The legal status of information may depend on how, why, and by whom it is collected and maintained.

Although Pazona MD uses safeguards designed to protect information, no website, wireless network, email system, text messaging system, or electronic transmission can be guaranteed to be completely secure.

Do not submit medical information through a public form unless the form specifically requests it. Use the patient portal or another communication method directed by Pazona MD for sensitive clinical information.

16. Accuracy of Information You Provide

You agree to provide information that is current, complete, and accurate.

You must not impersonate another person, provide false insurance or payment information, conceal important medical information, submit fraudulent documentation, or use another person’s identity or account without permission.

Pazona MD is not responsible for errors, delays, or adverse consequences caused by inaccurate, incomplete, outdated, or misleading information provided by you.

17. Permitted Website Use

Pazona MD grants you a limited, personal, revocable, nonexclusive, and nontransferable right to access and use the website for lawful, personal, and noncommercial purposes.

You may print or download reasonable portions of the website for personal, noncommercial use, provided that you preserve copyright and ownership notices and do not modify the materials in a misleading manner.

18. Prohibited Conduct

You may not:

Use the website or digital services for an unlawful, fraudulent, abusive, or harmful purpose;

Attempt to gain unauthorized access to systems, accounts, records, or data;

Interfere with the operation or security of the website;

Introduce malware, malicious code, automated attacks, or harmful content;

Scrape, harvest, copy, or extract data through automated means without written authorization;

Reverse engineer or attempt to discover source code, models, prompts, security systems, or proprietary processes;

Impersonate Pazona MD, a provider, an employee, a patient, or another person;

Submit false, defamatory, threatening, harassing, discriminatory, or obscene material;

Attempt to use an automated assistant to obtain medical advice outside its intended administrative purpose;

Record, reproduce, or distribute another patient’s information;

Violate another person’s intellectual property, privacy, or legal rights; or

Use information from the website to provide unauthorized medical services.

We may restrict or terminate access when we reasonably believe these Terms have been violated.

19. Intellectual Property

The website and its contents, including text, graphics, logos, photographs, videos, podcasts, designs, trademarks, service marks, educational content, software, interfaces, workflows, and other materials, are owned by or licensed to Pazona MD and are protected by intellectual property laws.

“Pazona MD,” “PMD Vasectomy,” associated logos, and other brand identifiers may be trademarks or service marks of Pazona MD or their respective owners.

Except for the limited personal use allowed by these Terms, you may not reproduce, republish, distribute, sell, modify, publicly display, create derivative works from, or commercially exploit website content without prior written permission.

20. Reviews, Feedback, and User-Submitted Content

If you voluntarily provide feedback, testimonials, reviews, suggestions, photographs, videos, or other nonclinical content to Pazona MD, you represent that you have the right to provide it and that it does not violate another person’s rights.

Pazona MD will not publicly use your identifiable health information for marketing without any authorization required by applicable law.

Do not post confidential medical information in public reviews, social media comments, or other publicly visible areas.

Feedback and suggestions may be used to improve Pazona MD’s services without compensation or obligation to you, provided that such use complies with applicable privacy and healthcare laws.

21. Third-Party Websites and Services

The website may link to or integrate with third-party services, including scheduling platforms, patient portals, payment processors, telehealth systems, laboratories, pharmacies, financing providers, records services, testing services, social media platforms, maps, video platforms, and file-upload tools.

A link or integration does not necessarily mean Pazona MD owns, controls, endorses, or guarantees the third party.

Your use of a third-party service may be governed by separate terms and privacy policies. Pazona MD is not responsible for third-party content, availability, security, products, representations, or independent conduct, except where responsibility cannot legally be excluded.

22. Availability and Website Changes

We attempt to keep the website and digital services available and accurate, but we do not guarantee uninterrupted access.

The website may be unavailable because of maintenance, technical failures, cybersecurity incidents, telecommunications interruptions, third-party outages, updates, or circumstances beyond our control.

We may add, remove, suspend, modify, or discontinue website features or digital services at any time.

23. Disclaimer of Warranties

To the fullest extent permitted by law, the website and digital services are provided on an “as is” and “as available” basis.

Pazona MD does not warrant that:

The website will always be available, secure, or error-free;

All content will be complete, current, or free of inaccuracies;

An automated response will be accurate or appropriate;

A scheduling request will result in an appointment;

A third-party service will function without interruption; or

Use of the website will produce a particular medical, personal, or financial result.

This section applies to the website and digital services. It is not intended to alter the professional standard of care applicable to healthcare services provided by licensed Pazona MD professionals.

24. Limitation of Liability

To the fullest extent permitted by law, Pazona MD and its owners, providers, employees, contractors, representatives, affiliates, and technology providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

Your use of or inability to use the website;

Reliance on general website content;

Delayed or undelivered messages;

Unauthorized access caused by your failure to secure an account or device;

Third-party platforms or links;

Technology interruptions;

Automated or artificial intelligence responses; or

Information you submit inaccurately or through an inappropriate channel.

Nothing in these Terms is intended to waive a patient’s nonwaivable legal rights, excuse professional negligence, alter the applicable clinical standard of care, or limit liability where such limitation is prohibited by law.

25. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pazona MD and its owners, employees, contractors, affiliates, and representatives from claims, damages, losses, liabilities, and reasonable expenses arising from:

Your unlawful or unauthorized use of the website;

Your violation of these Terms;

Information or content you knowingly submit without authorization;

Your infringement of another person’s rights; or

Fraudulent, abusive, or malicious activity conducted through your account or device.

This provision does not require you to indemnify Pazona MD for professional healthcare services, Pazona MD’s own negligence, or conduct for which indemnification may not legally be required.

26. Suspension and Termination

Pazona MD may restrict, suspend, or terminate your access to the website, patient portal, automated tools, or digital services if you violate these Terms, create a security risk, misuse the services, engage in threatening or abusive conduct, fail to pay applicable charges, or where restriction is otherwise reasonably necessary.

Termination of website access is separate from termination of a provider-patient relationship. Any termination of an established provider-patient relationship will be handled according to applicable professional and legal requirements.

Sections that by their nature should survive termination will remain effective, including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.

27. Governing Law and Venue

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

Before filing a legal claim relating solely to the website or digital services, you agree to contact Pazona MD and make a good-faith effort to resolve the matter informally.

Unless applicable law requires otherwise, any legal proceeding arising from these Terms or the website shall be brought in the appropriate state court located in Williamson County, Tennessee, or, when federal jurisdiction exists, the United States District Court for the Middle District of Tennessee.

This section does not alter any special venue, pre-suit notice, limitation period, or procedure that may apply to a healthcare liability claim under Tennessee law.

28. Changes to These Terms

We may update these Terms to reflect changes in our services, technology, communications practices, policies, or legal obligations.

The “Last Updated” date will indicate when the Terms were most recently revised. Updated Terms become effective when posted unless a later effective date is stated.

Your continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms. Material changes affecting an existing patient relationship may also be communicated through another reasonable method when required.

29. Severability

If a provision of these Terms is found unenforceable, the provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

30. No Waiver

A failure by Pazona MD to enforce a provision of these Terms does not waive the right to enforce that provision later.

31. Assignment

You may not assign your rights or obligations under these Terms without prior written permission from Pazona MD.

Pazona MD may assign these Terms in connection with a merger, reorganization, transfer of operations, sale of assets, or similar business transaction, subject to applicable healthcare and privacy laws.

32. Entire Agreement

These Terms and the Privacy Policy constitute the agreement between you and Pazona MD regarding your general use of the website and digital services.

Separate clinical, financial, telehealth, membership, privacy, procedure, or patient agreements remain independently enforceable and will control matters specifically addressed by those agreements.
